This document contains (1) Terms & Conditions and (2) a Privacy Policy for the Course and related services (collectively, the “Services”) provided by Clifton T. Smith II (“we,” “us,” “our”). By purchasing, accessing, or using the Services, you agree to these Terms.
TERMS & CONDITIONS
1) Eligibility
The Services are intended for adults (18+) unless otherwise stated. By using the Services, you represent that you are legally able to enter into this agreement.
2) Educational Purpose + Important Disclaimers
Educational content only. The Course provides education and training related to mindfulness, performance, leadership, and well-being skills. It is not medical advice, mental health treatment, psychotherapy, legal advice, or financial advice.
Not a substitute for professional care. If you have a medical or mental health condition—or think you may—please consult a qualified professional. If you are in crisis or may harm yourself or others, contact local emergency services immediately.
No guaranteed results. Outcomes vary by individual and depend on many factors (effort, application, context, etc.). We do not guarantee any specific result.
3) Accounts, Access, and “Lifetime Access”
You may need an account to access the Course and community. You agree to provide accurate information and to keep your login credentials secure.
Lifetime Access (While Hosted). “Lifetime access” means you will have access to the Course for as long as the Course is hosted and made available by us on our platform. Platforms and delivery methods can change over time.
Platform changes and discontinuation. If we migrate the Course to a new platform, we will make reasonable efforts to provide continued access on the successor platform or by another method. However, we cannot guarantee perpetual access in every circumstance (for example, if a platform provider shuts down unexpectedly, if laws change, or if events beyond our control occur).
Downtime. Services may be temporarily unavailable due to maintenance, upgrades, or third-party outages. We will make reasonable efforts to restore access.
4) License to Use + Intellectual Property
All Course content and materials are owned by Clifton T. Smith II or licensors and are protected by intellectual property laws.
Your license. You receive a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use only.
No sharing / no resale. You may not:

share logins or allow others to access your account,
-
copy, reproduce, sell, resell, license, distribute, publish, or publicly display Course materials,
-
record, repost, or redistribute videos/audio/live sessions,
-
create derivative works from the Course materials, except for personal notes.
We reserve the right to disable access if we detect credential sharing or unauthorized distribution.
5) Community Guidelines
If the Course includes a community (forums, comments, groups, Q&A, etc.), you agree to participate respectfully and professionally.
You agree not to post or share:

harassment, hate, threats, or abusive content,
-
illegal content or instructions for wrongdoing,
-
private/confidential information (yours or others’) that you do not have the right to share,
-
spam, promotions, or solicitations without permission,
-
medical or mental health “diagnoses” of others.
Community is not therapy or crisis support. Do not use the community for emergency situations.
Moderation. We may moderate, remove content, or remove participants at our discretion to maintain a safe learning environment. If you are removed for violating these Terms, you may lose community access without refund (see Section 8).
6) Payments
You agree to pay the price displayed at checkout, including any applicable taxes. If you purchase via a payment plan (if offered), you authorize charges according to the schedule presented at checkout.
7) 14-Day Money-Back Guarantee
We offer a 14-day money-back guarantee from the date of purchase.
To request a refund within 14 days, email clif@clifsmith.com with:

the name and email used at checkout, and
-
“Refund Request” in the subject line.
Refund processing. Approved refunds are issued to the original payment method. Processing times vary by bank/payment provider.
Fair use / abuse. We reserve the right to deny refund requests we reasonably believe are abusive or fraudulent (for example, repeated refund behavior, chargeback threats, or confirmed theft/distribution of content). If we deny a refund due to abuse, we will provide a brief explanation.
8) Termination of Access
We may suspend or terminate your access if you:

violate these Terms,

share credentials or distribute materials,
-
harass others or disrupt the community,
-
engage in illegal or abusive conduct related to the Services.
If access is terminated due to a Terms violation, you are not entitled to a refund. You may stop using the Services at any time.
9) Updates, Changes, and Availability
We may update, modify, or discontinue parts of the Services at any time (lessons, downloads, templates, community format, delivery methods). We do not guarantee that any specific feature, module, bonus, or community component will remain available indefinitely unless explicitly stated at checkout.
10) Third-Party Links and Services
The Services may reference or link to third-party websites, tools, or services. We are not responsible for third-party content, policies, or availability.
11) Disclaimers of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE COURSE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR, IF LOWER, $250).
Some jurisdictions do not allow certain limitations; in that case, the limitation applies to the fullest extent permitted.
13) Indemnification
You agree to indemnify and hold harmless Clifton T. Smith II from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Services, your violation of these Terms, or your violation of any rights of another.
14) Governing Law and Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law rules.
Good-faith resolution first. Before filing a legal claim, you agree to contact us at clif@clifsmith.com and attempt to resolve the issue informally for at least 30 days.
If a dispute proceeds, you agree that any legal action will be brought in the state or federal courts located in Fairfax County, Virginia, and you consent to personal jurisdiction there.
15) Changes to These Terms
We may update these Terms from time to time. The updated Terms will be posted with a new effective date. Material changes will apply going forward.
